Convention 2019

Proposed bylaw changes

Each year the leadership and staff review the ABCT Bylaws to ensure they reflect our current model of governance and policies; are compliant with state and federal regulations; and are consistent. This year we have two changes that address consistency and practice for your approval.

a. Several years ago we expanded our membership categories to include New Member Professionals. We voted that they could nominate and vote but not hold office. When reviewing the Bylaws we noted an inconsistency in Article IX Officers as follows:

3. Qualifications for Office: Any voting member of the Association in good standing shall be eligible for nomination and election to any elective office.

And change to:

3. Qualifications for Office to: Any Full or Fellow members of the Association in good standing shall be eligible for nomination and election to any elective office.

b. As our convention programing has grown, so, too, have the responsibilities and need for assistance beyond clerical help. We would like to acknowledge the work handled by the person assisting the Program Chair, designating that person the Associate Program Chair. Therefore, we need to change our Bylaws, Article IX Officers as follows:

5.2 President-Elect: In the President's absence at any meeting except the Board meeting during the annual convention, the President-Elect shall preside. In case of absence, disability, or resignation of the President, the President-Elect shall perform the duties of the President. While in office, the President-Elect shall nominate, for approval by the Board, the Associate Program Chair. The President-Elect shall work as closely as possible with the President on all executive matters.

And change to:

5.2 President-Elect: In the President's absence at any meeting except the Board meeting during the annual convention, the President-Elect shall preside. In case of absence, disability, or resignation of the President, the President-Elect shall perform the duties of the President. While in office, the President-Elect shall nominate, for approval by the Board, the person who serves as Program Chair during the President's term. The President-Elect shall work as closely as possible with the President on all executive matters.
